AGREEMENT TYPES & TEMPLATES

When submitting an International Agreement Proposal Form you will be asked to select the "Agreement Type" from a dropdown list. The agreement types are defined below, along with accompanying templates (if provided).

INTERNATIONAL AGREEMENT TYPES

Exchange: An agreement needed to develop a two-way student exchange program at the undergraduate or graduate level. The agreement allows students to take classes for credit for one or two semesters.

Research: An agreement under which one party (“Sponsor”) provides funding to a second party (“Awardee”) to support the performance of a specified research project or related activity, or an agreement under which two or more parties agree to collaborate on a defined research project.

Memorandum of Understanding (MOU): A non-binding agreement, letter or similar document that sets forth two or more parties’ intent to collaborate or pursue some future activity. A memorandum of understanding may provide a description of the proposed collaboration or future activity but does not obligate the parties to perform or deliver the project, except as may be set forth in a subsequent legally binding agreement. A memorandum of understanding may expressly state that it is non-binding or otherwise reference the parties’ lack of legal obligation.

Dual Degree: An agreement that results in a student earning degrees from both their home institution and Auburn University.

Internship: An agreement, typically requested by a student’s home institution, outlining the details and responsibilities of an internship program at the host institution.

Vendor Contract: A business contract between two parties covering the exchange of goods or services in return for compensation. Vendor contracts establish the business relationship conditions and include details on each party's obligations under the contract.

Employment Contract: An agreement or term of hire that is extended from an employer to an employee to set the terms and conditions of their employment.

Non-Disclosure Agreement (NDA): An agreement under which a party ("Disclosing Party") agrees to give a second party ("Receiving Party") confidential information about its business or products for a particular purpose, usually evaluation of a future business opportunity, purchase, or collaborative engagement. A non-disclosure agreement may be mutual, providing for the exchange of information by both parties, or specify that only one party will be providing information. The Receiving Party agrees to hold the information in confidence, often for a specified period of time, and to use it only for the stated purpose. No funds are exchanged.

Liability: A legal agreement between two parties in which one party waives the right to hold the other responsible for potential damages.

Grant: An agreement that outlines the terms and conditions of an award to an individual or group entity. The agreement will typically specify what the funds are intended to be used for, any conditions of funding and any reporting and monitoring requirements.

Material Transfer Agreement (MTA): An agreement under which one party ("Provider") agrees to give a second party ("Recipient") materials for use for a specified research or academic purpose. The agreement defines the rights, obligations, and restrictions for both the Provider and Recipient with respect to the materials being exchanged. Material transfer agreements are not used for the purchase of commercially available materials.

License: A contract that allows one party (the licensee) to use and/or earn revenue from the property of the owner (the licensor).

Option: An agreement that gives an outside organization the future option to buy or license an asset, such as a new technology, within a specified amount of time.

Technical Assistance: An agreement between a company or individual in the U.S. and a foreign company or individual that allows for the transfer of technical data or assistance in the design, development, production or use of items.
